Your new company
My client is a global business that is listed on the US stock exchange. They are one of the fastest-growing companies in their space, and they are looking for a highly skilled and detail-oriented US lawyer to join the team. The ideal candidate will be required to spend half of their time in HK and the other half in the US.
Your new role
- Advise on legal and regulatory requirements for U.S. public company listings, including IPOs and SPAC transactions.
- Ensure compliance with SEC rules, Sarbanes-Oxley Act (SOX), and stock exchange listing standards.
- Draft and review registration statements, periodic reports (Forms 10-K, 10-Q, 8-K), proxy statements, and other SEC filings.
- Monitor changes in securities laws and regulations and assess their impact on the company.
- Collaborate with internal teams (Finance, Investor Relations, Corporate Communications) to ensure accurate and timely disclosures.
- Support board governance matters, including preparation of board and committee materials.
- Conduct internal audits and risk assessments related to listing compliance.
- Develop and deliver training programs on U.S. securities law compliance.
Requirements
- Juris Doctor (JD) from an accredited law school; admission to a U.S. state bar.
- Minimum 5 years of experience in securities law, preferably with a focus on U.S. listings.
- In-depth knowledge of SEC regulations, SOX, and U.S. stock exchange rules.
- Experience working with publicly listed companies or advising on IPOs/SPACs.
- Strong analytical, communication, and organizational skills.
- Ability to work independently and manage multiple priorities in a fast-paced environment.
